End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("You" or "User") and BC Solutions ("BC Solutions", "we", "us") for the use of the BC Overhead Agent software application, including any associated updates, documentation, and related materials (collectively, the "Software"). By installing, copying, or otherwise using the Software, You agree to be bound by the terms of this Agreement. If You do not agree, do not install or use the Software.

1. License Grant

Subject to the terms of this Agreement, BC Solutions grants You a non-exclusive, non-transferable, revocable license to install and use the Software on devices owned or controlled by You, solely for Your internal business purposes.

2. Restrictions

You shall not: (a) copy, modify, or create derivative works of the Software; (b) reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law; (c) rent, lease, sublicense, sell, or otherwise transfer the Software to any third party; (d) remove or alter any proprietary notices contained in the Software; or (e) use the Software for any unlawful purpose.

3. Ownership

The Software is licensed, not sold. BC Solutions retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to You other than those expressly set forth in this Agreement.

4. Third-Party Services

The Software integrates with third-party services, including Intuit QuickBooks Online. Your use of those services is governed by their respective terms and privacy policies. BC Solutions is not responsible for the availability, accuracy, or content of any third-party service.

5. Data and Privacy

The Software accesses and processes data from Your QuickBooks Online account solely to perform the functions You authorize. Data handling is described in our Privacy Policy, which is incorporated into this Agreement by reference.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BC SOLUTIONS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CALCULATIONS OR OUTPUTS WILL BE ACCURATE OR RELIABLE. You are responsible for verifying any financial calculations or reports produced by the Software before relying on them.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BC SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SOFTWARE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF BC SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall BC Solutions' total liability to You exceed the amount You paid for the Software in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100) if no amount was paid.

8. Term and Termination

This Agreement is effective upon Your first use of the Software and continues until terminated. You may terminate this Agreement at any time by uninstalling the Software. BC Solutions may terminate this Agreement at any time if You breach any term. Upon termination, You must cease all use of the Software and destroy all copies in Your possession.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts located in the State of Georgia.

10. Changes to This Agreement

BC Solutions reserves the right to modify this Agreement at any time. Updated versions will be posted at this URL with a revised "Last updated" date. Continued use of the Software after changes constitutes acceptance of the revised Agreement.
